The Walt Disney Company’s Corporate Legal Department is seeking an Associate Principal Counsel to join the Business Operations team for Disney Media & Entertainment Distribution (“DMED”).

The Business Operations team supports Corporate Strategy, Media Investment, Content Planning, Research & Analytics, and the Standards & Practices teams to ensure Disney’s library of content is thoughtfully, accurately, and efficiently promoted, delivered, and experienced by consumers worldwide. The Business Operations team is critical to developing and supporting the infrastructure, behaviors, and tactical long-term operations for DMED.

This role will support advertising policy compliance, draft operational guidelines, and support other advertising-related initiatives as assigned, but also pitch in across the organization as we expand our team.

Responsibilities:

  • Draft and revise advertising policies in support of the advertising business for Disney’s streaming platforms in accordance with industry best practices and local, state, and federal laws and regulations.

  • Draft and negotiate a wide variety of licensing, consulting, and other commercial agreements supporting streaming and linear advertising initiatives.

  • Provide strategic and practical advice to the Standards & Practices and Advertising teams regarding legal matters related to advertising practices, legal and brand risks associated with advertising, and any other issues related to the development of advertising on Disney’s streaming platforms.

  • Work closely with in-house experts to analyze and resolve advertising review protocols, cross-network advertising conflicts, and other key risks to ensure alignment of Disney’s business, operational, and legal interests.

  • Work closely with the Sourcing team to consolidate transactional value through the parent organization while also transitioning certain deals from affiliates to the parent company.

  • Support other related and potentially unrelated initiatives as assigned. We are a growing team that needs flexibility, a roll up your sleeves mentality, and a desire to contribute at all levels.

Basic Qualifications:

  • Six (6) years of combined experience at a law firm or in-house legal team.

  • Experience drafting and negotiating commercial transactions including licensing, consulting, and/or advertising deals.

  • Demonstrated ability to identify and analyze complex issues and devise solutions, recommendations, and strategies.

  • Superior negotiation, drafting, and writing skills combined with the ability to problem solve in an efficient, business-friendly, creative manner.

  • Excellent analytical, organizational, prioritization and time management skills, along with the ability to work under tight deadlines and execute efficiently against multiple, high-priority and high-volume projects in a fast-paced environment.

  • Exceptional ability to respond to and interact with team members at all levels of seniority and any degree of familiarity with legal issues in a manner that is personable, professional, and useful.

  • Exceptional facility with spotting issues, assessing and communicating risks, making common-sense decisions, and finding flexible/creative solutions to achieve business goals.

  • A collegial and collaborative lawyer willing to pitch in with enthusiasm on any and all projects and a desire to develop skills and experience alongside an evolving business with innovative ideas.

Preferred Qualifications:

  • Experience in the advertising industry in working at an ad agency or agency partner.

  • Experience in political advertising and advertising disclosure obligations.

  • Familiarity and ability to work and succeed in a large matrixed organization.

Required Education:

  • JD or Equivalent

  • Admission to New York or California State Bar in good standing or willingness and qualification to be Registered In-House Counsel
