ImmunityBio, Inc. is a late-stage immunotherapy company developing next-generation therapies that drive immunogenic mechanisms for defeating cancer and infectious disease. Position Summary
ImmunityBio is developing cell and immunotherapy products that are designed to help strengthen each patient’s natural immune system, potentially enabling it to outsmart the disease and eliminate cancerous or infected cells. We envision a day when we no longer fear cancer, but can conquer it, thanks to the biological wonder that is the human immune system. Our scientists are working to develop remarkable new therapies that harness that inherent power by amplifying both branches of the immune system, attacking cancerous or infected cells today while building immunological memory for tomorrow. The goal: to reprogram the patient’s immune system and treat the host rather than just the disease.
The Corporate Paralegal will assist the General Counsel and Legal Team with organizing, drafting, researching, filing and preparing various documents associated with the corporate legal function of a publicly traded biotech company.
  • Board Matters – draft Board materials, minutes and resolutions for attorney review, and assist with calendaring of Board and Committee meetings
  • SEC Filings – prepare checklists and timelines and assist with preparation and drafting of discrete sections of various SEC filings, as well as preparation and filing of Section 16 ownership filings
  • M&A Support – support M&A activity and other strategic transactions, including NDAs, term sheets, due diligence, virtual data rooms, closing checklists and post-closing administration and integration
  • Litigation Assistance – assist with discovery responses and document review
  • Corporate Transactional Assistance – assist in the preparation of contract templates and drafting for attorney review of transaction agreements associated with the company’s operations such as material transfer agreements, clinical trial agreements and vendor contracts
  • Entity Management – assist with entity formation and corporate subsidiary management, including state licensing and periodic reports
  • Contact Management – operational involvement and responsibility over contract management system
  • Bachelor’s Degree from an accredited institution and/or a Paralegal Certification
  • Minimum of 5-7 years of corporate paralegal experience in a high-volume transaction environment (law firm or corporation; in-house experience is a preferred)
  • Preferred (but not required): Able to work in Orange County, California 2+ days a week when the office is open. (El Segundo, Culver City - Los Angeles area)
  • Strong organizational and planning skills
  • Detail-oriented with a commitment to accuracy
  • Ability to effectively prioritize and multi-task under limited direction, and ability to shift priorities quickly while working under tight timelines
  • Flexibility and good judgment with a desire to identify needs, improve and streamline processes
  • Superior oral and written communication skills
  • Ability to maintain confidentiality and operate with the highest of ethical standards and professionalism
